These Terms and Conditions (“Terms”) govern all services, products, and transactions provided by VTS Motors(“Company,” “we,” “our,” or “us”) to any customer (“Client,” “you,” or “your”), including electric motor repair, maintenance, sales, installation, diagnostics, and related engineering or field services.
By accepting a quote, work order, invoice, or engaging our services, you agree to be bound by these Terms.
1. Scope of Work
All services to be rendered will be outlined in a written estimate, proposal, or work order. Any additional work requested or required beyond the initial scope will be treated as a change order and billed accordingly.
2. Estimates, Pricing & Payment

All estimates are valid for 10 days unless stated otherwise.

Prices are exclusive of taxes, shipping, permits, and disposal fees unless specified.

Payment terms are net 5 or net 10 days from the invoice date, unless otherwise agreed in writing.

Late payments may incur a 1.5% monthly finance charge or the maximum allowed by law.

We reserve the right to suspend services for overdue accounts.
3. Parts, Equipment & Ownership

Parts may be new, OEM, reconditioned, or equivalent-grade replacements.

All special-order parts are non-refundable once ordered.

All goods remain the property of VTS until paid in full.

Replaced components will be discarded unless specifically requested for return at the time of service.
4. Warranties
A. Labor Warranty
We warrant our labor for 6 months from the date of service completion.
B. Parts Warranty
Parts are warranted in accordance with the manufacturer’s warranty. VTS does not provide additional warranty beyond the manufacturer's terms.
C. Warranty Exclusions
This warranty does not cover:

Unauthorized repairs or modifications

Customer-supplied parts
-
Environmental damage, misuse, or force majeure events

Failure caused by unrelated systems or components
5. Client Obligations
You agree to:

Provide accurate and complete site/equipment access

Ensure compliance with all local safety and building codes
-
Maintain safe and OSHA-compliant working conditions

Report concerns, defects, or dissatisfaction in writing within 7 business days of service
6. Delays and Access Issues
Delays caused by the Client, site inaccessibility, unavailability of equipment, or unsafe conditions may result in additional labor charges. We are not liable for project delays caused by third-party contractors or permitting agencies.
7. Cancellation & Rescheduling

Appointments canceled with less than 24 hours’ notice may be subject to a cancellation fee.

Deposits for special orders or custom projects are non-refundable.

Work delayed more than 30 days by the Client without cause may be considered canceled and subject to administrative fees.
8. Limitation of Liability
To the maximum extent permitted by law:

We are not liable for incidental, indirect, special, or consequential damages, including business loss, downtime, or property damage.

Our total liability is limited to the amount you paid us for the specific service or product in question.
9. Force Majeure
We are not responsible for delays or failures resulting from events beyond our control, including natural disasters, labor strikes, supply chain issues, regulatory changes, or civil unrest.
10. Non-Solicitation Clause
You agree not to solicit or hire any VTS Motors employee, technician, or contractor for similar services for a period of 12 months following the completion of the last project without our written consent. A breach will result in a liquidated damages fee equal to 25% of that individual’s estimated annual compensation.
11. Jurisdiction & Governing Law
This agreement shall be governed by and interpreted under the laws of the state where the services were rendered:
If services are performed in Florida:
This agreement shall be governed by the laws of the State of Florida, and any disputes shall be resolved in the state or federal courts of Miami-Dade County, Florida.
If services are performed in Illinois:
This agreement shall be governed by the laws of the State of Illinois, and any disputes shall be resolved in the courts of Cook County, Illinois.
The Client agrees to submit to the personal jurisdiction of those courts.
12. Changes to Terms
We reserve the right to update these Terms at any time. Any changes will apply to new transactions or services going forward and will be communicated via proposal, invoice, or online publication.
